Hi,
first off, I've read about this issue a lot during weeks and month - until now didn't see a final solution.
Instead workarounds such as terminal commands.
e.g.
http://ubuntuforums.org/showthread.php?s=5bf0a3c24949717f3227e7e79499fc3e&t=1071895

Options:
Did you make any changes in GDM, gnome-power-manager, GNOME-session, menu.lst?
How do you shutdown?
Panel menu system or symbol on the panel?

Check power-management settings in system -> preferences
also in gconf-editor /apps/gnome-power-manager

Read logfiles
https://help.ubuntu.com/community/LinuxLogFiles

Remove USB stick(s) and try again. (Helped in one case)
Check BIOS power management settings, deactivate "USB wakeup from ..."

To see messages on shutdown edit menu.lst, the line
# defoptions=quiet splash
##instead 'splash' replace with nosplash
save and finish with:
sudo update-grub

You may create a starter (with right click 'add to panel' user defined starter).
Insert the command:
gnome-power-cmd.sh shutdown
##this way you wont need a password to shutdown

Possible it isn't recognized that the machine is ACPI capable.
Maybe this helps, edit menu.lst,
# defoptions=quiet nosplash acpi=force

Known issues:
http://bugzilla.kernel.org/show_bug.cgi?id=7195
in case:
http://readlist.com/lists/lists.ubuntu.com/ubuntu-users/6/34756.html

For any crash please use Apport
## it isn't activated per default in Hardy
https://wiki.ubuntu.com/Apport

In case you may want to file a bug
https://help.ubuntu.com/community/ReportingBugs
## Try to avoid reporting bugs directly in launchpad
why:

Depends on BIOS firmware which setting is responsible to wake up on ...., some don't have this option.
In case of further investigation
