in synaptic package manager says that i have the latest version: 4:4.3.1-1ubuntu2, but the update manager keeps telling me to update to cpp-4.3, so it must be a problem with update manager ??

It could be that the update that your apt system has cached no longer exists. Run a manual update:
sudo apt-get update
Then try upgrading.
Here are the latest cpp-4.3 packages:

Are you familiar with aptitude? Can you try to go into aptitude and
upgrade cpp and see what happens? My guess is that another package
might be broken by the upgrade.

It will offer suggestions how to fix the dependencies, choose the one
that works for you (i.e. should offer to upgrade the other packages for
you).
