which vm to download?

What is the diff between vm-8.2.0b.tgz and vm-8.2.0b-gnu23.tgz?

I'm running gnu emacs v24.2 which vm should I grab?

Your best bet is to grab the source (vm-8.2.0b.tgz) and build it locally. The compiled binaries of older versions of Emacs often work on newer versions, but it is not always guaranteed.
