will upgrading to 9.10 changes the existing softwares/settings?

I am right now working with ubuntu 9.04 but want to upgrade to 9.10.. i have downloaded the iso file from ubuntu site.. now if i upgrade with this iso file(either through usb or cd/virtual cd), will all my existing setting, softwares etc. remain unchanged.. i am not that familiar with linux so it has taken a long time for me to configure or tweak the system/softwares according to my needs, so i don't want to go through all over again... if needed i also have an option to go through network upgrade although that will involve again downloading approx. 700 mb through terminal.. thanks..

Yes - do the network upgrade. You should have an option to upgrade when you start the Update Manager. If not, run gksudo update-manager -d from a terminal.

Your software should come through with the same settings.

isn't there any way to use the use the downloaded iso so that settings remain unchanged...

Only if you downloaded the "alternate" ISO.

You could also back up your data (everything in /home/), then do a full install using your downloaded ISO.

If there is a separate /home partition it can be just kept during new installation by choosing manually partitioning and not formating it.

A normal network upgrade wont usually change a separate /home partition.
Of course application version change and so may config files and/or the path of it.
But e.g. customized themes which are in /home/user_name/.themes wont change.
