Off Line up grade

Is there a way off downloading the latest upgrades to for a machine with no internet connection?

I don't think it's easy. There is an option to prepare a download for a specific package with a script. But for a full upgrade, it can be a lot of packages, so I'm not sure if it can work. Worth a try though:

open Synaptic
-refresh the content
-press the button for a full upgrade
-then instead of pressing apply, open the main menu of Synaptic, then there is an option to create a download script.
-save the script on a USB stick, connect it to an Ubuntu computer with internet access, run it, it will download all the packages on the USB stick.
-connect the USB stick to your computer, open Synaptic, main menu, there is another option to install downloaded packages.

And then it depends what you mean by "upgrade". If you mean a version upgrade (like 10.04 to 10.10), you can consider using the alternate CD to do it. However, depending what you installed on your system, the CD may or may not contain the new version... So you could be blocked.
