Please don't post in all caps, it's completely unnecessary and looks like you are SHOUTING.

Your CPU is old and/or doesn't support PAE. I suggest you install Xubuntu or Lubuntu and it will install as the default ISO doesn't come with the PAE enabled kernel. If you desire you can install the ubuntu-desktop package and get Unity etc..
