Some information will help. What version did you upgrade from? What is your computer, make and model? What GPU do you have? Name some error messages. If wireless, what is name and model?

cd ~/Downloads
wget http://releases.ubuntu.com/12.04/ubuntu-12.04-alternate-amd64.iso
wget http://releases.ubuntu.com/12.04/MD5SUMS
md5sum -c ./MD5SUMS | grep OK > 2> /dev/null

If the file is ok then run:

sudo mkdir /media/iso
sudo mount -o loop ~/Downloads/ubuntu-12.04-alternate-amd64.iso /media/iso
cd /media/iso
gksudo ./cdromupgrade

And it will upgrade
