To upgrade from 5.04 to later releases, you need to upgrade successively through 5.10, 6.06, 6.10, 7.04, and finally 7.10. This may take a while ... (Upgrading to 8.04 would be quicker since you can upgrade from 6.06 to 8.04 directly.) Note that 5.10, 6.10, and 7.04 reside on http://old-releases.ubuntu.com/ubuntu/ nowadays and /etc/apt/sources.list would need to be written accordingly. If you feel up to tackling this, https://help.ubuntu.com/community/UpgradeNotes has much of the necessary information.

A fresh installation may be easier, and https://help.ubuntu.com/community/Installation has advice on a number of methods of installing Ubuntu without a CD.
