The minimum required for Ubuntu is two partitions (well, in principle you could do without the swap but I would not recommend it).
So, leave the FAT32 partitions you are using for WinXP alone (make sure that there is no change to them when installing Ubuntu) and use the partition left for Ubuntu.
When you will be asked, divide this partition into:

one ext3 partition for the / filesystem
one partition for the swap (roughly twice your memory)

Make sure that you set the boot flag for the right partition (usually the first).

You can check this video from Alan "The Best" Pope on how to do a flawless dual boot install:

It all depends on what you intend to install. I have two desktops and a number of libraries and occupy less than 5 GB, so I would say you can.

I'm not sure what I'm doing here. First time even on any kind of Linux site. Cesar's answer looks good; I will look at the video. Do I need to create an empty partition befoe installing Ubuntu or will the install routine do this?

Can you help with this problem?
