press alt+f2 and that should open the "Run Application" window.
type "gnome-terminal" and hit enter; this should open gnome terminal
type "killall gnome-panel"
if gnome panel does not automatically restart press alt+f2 and type "gnome-panel"

this should fix your problem.

IF this doesn't fix your problem, consider removing some of your settings from your home directory (make sure you back them up incase)
steps to do this would be
press alt+f2 and type "nautilus" to run nautilus, then press ctrl+h to show hidden files. copy the following directories: .gnome2 .gconf
delete the original .gnome2 and .gconf (make sure you have your backup) and then repeat the steps for fixing gnome panel (above)

good luck

ALT+f2 does nothing for me neither, but unfortunately restarting my computer hasn't solved the problem :(
Any advice?

I have a similar problem in that the gnome-panel suddenly does not automatically start when I log in (so I'm faced with a blank desktop). I'm using Ubuntu Karmic Koala.

Starting gnome-panel manually could be a bit tricky if Alt+F2 does not work, but in my case I can right-click on the desktop and create a launcher for the Panel (gnome-panel) or for a Terminal (gnome-terminal).

So I have temporarily solved my issue, but I still haven't figure out why Panel won't automatically start when I log in. When I run gnome-panel manually, there is one warning but no error message:
