unable to update 12.04

I am trying to update my Ubuntu 12.04 and I get the following on update manager:

Not all updates can be installed:
Run a partial upgrade to install as many updates as possible.

When I try to run the partial upgrade, I get this:

Unable to get exclusive lock

This usually means that another package management application (like apt-get or aptitude) already running. Please close that application first.

I have no other apps open.

Any ideas?

What is the output of:

sudo apt-get update; sudo apt-get upgrade
