Xubuntu 9.10 to 10.04 upgrade issues - failed to lock

I am trying to upgrade from Xubuntu 9.10 to 10.04 on Thinkpad T22 (512MB RAM, 8GB harddisk, Pentium 800MHz). Keep getting "Failed to lock /var/cache/apt/archives/lock" error and the upgrade aborts.

How do I fix this issue?
